CMA finds Amazon’s $4bn Anthropic partnership falls outside UK merger rules

See how this story connects

On 27 September 2024 the Competition and Markets Authority decided that Amazon’s partnership with Anthropic did not qualify for investigation under the Enterprise Act 2002, closing a Phase 1 inquiry opened on 8 August. The CMA found that Anthropic’s UK turnover did not exceed £70 million and that the parties did not together hold a 25% share of supply of any UK goods or services. Amazon kept a minority stake and took no board seat.

Why it matters

Cloud providers investing in model developers saw that the UK’s turnover and share-of-supply thresholds can keep a large AI partnership out of merger review.
